Terms of Service

1. Agreement to Terms
By accessing or using WorkplacePlugins ("the Service"), operated by WorkplacePlugins Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
2. Description of Service
WorkplacePlugins provides workflow automation plugins ("Agents") for professional services firms. Each Agent connects to your existing business tools and automates specific workflows. The Service is provided on a subscription basis with optional usage-based billing.
3. Accounts and Tenants
You must create an account to use the Service. Each account belongs to a tenant (your organisation). You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised access.
4. Subscriptions and Payments
Paid subscriptions are billed monthly in advance in GBP via Stripe. Prices are listed on each plugin page and may change with 30 days' notice. Usage-based charges, where applicable, are billed in arrears at the end of each billing period. All fees are exclusive of VAT, which will be added where applicable.
5. Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. We reserve the right to suspend or terminate accounts with overdue payments after 14 days.
6. Data and Privacy
Your use of the Service is subject to our Privacy Policy. You retain ownership of all data you upload to or generate through the Service. We process your data solely to provide the Service and do not sell or share it with third parties except as described in the Privacy Policy.
7. Data Processing
Where the Service processes personal data on your behalf (for example, candidate CVs or client records), we act as a data processor under UK GDPR. You remain the data controller. We will process personal data only on your documented instructions and maintain appropriate technical and organisational measures to protect it.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) upload malicious files or content; (c) attempt to access other tenants' data; (d) reverse-engineer or scrape the Service; (e) exceed reasonable usage limits or abuse API endpoints; (f) resell access to the Service without our written consent.
9. Intellectual Property
The Service, including all software, designs, and documentation, is owned by WorkplacePlugins Ltd and protected by copyright and intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.
10. Service Availability
We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control, including third-party service outages, network issues, or force majeure events.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising from your use of the Service is limited to the fees you have paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your breach of these terms; (c) your violation of any third-party rights; (d) data you upload to the Service.
13. Modifications
We may update these terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
14. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
